In Hell Spawn would probably win as he would have roughly “ass-loads” of power, but in the same sense Silver Surfer would kick ass in his our place. so lets call the fight location Earth.

Assuming that Spawn couldnt just come back from hell 50000 times, Silver Surfer would win. Or he could just consume spawns energy and you know, do the silver surfer thing.
